Adani Ports Expands Logistics Arm with Dependencia Acquisition

Adani Ports and Special Economic Zone (APSEZ) has announced that its step-down subsidiary, Mandhata Build Estate, has acquired 100 percent stake in Dependencia Logistics Pvt. Ltd. The acquisition was made from Windson Projects for a cash consideration of ₹37.77 crore through a share purchase agreement.

Dependencia Logistics, incorporated in Mumbai in February 2022, is yet to commence operations. The company was established to provide transportation and logistics services for a wide range of goods but has not recorded any turnover to date. Its authorised and paid-up equity share capital currently stands at ₹10 lakh.

APSEZ stated that the acquisition is part of its strategic plan to strengthen and expand its logistics portfolio. By bringing Dependencia Logistics under its umbrella, the company aims to boost its integrated logistics capabilities and create greater value for customers across supply chains.

The acquisition, funded entirely through cash, signals Adani Ports’ intent to diversify its service offerings beyond port operations and into end-to-end logistics solutions. This move aligns with APSEZ’s vision of becoming a comprehensive transport and logistics leader in India, catering to both domestic and international trade needs.
